This industry is about to explode, and you'll be in the room where it's already happening. What you’ll do At Giga, the legal team isn’t overhead — it’s infrastructure. As our Senior Corporate Counsel, you’ll support the legal reputed company that lets everything else move at full speed: entity governance, equity, financing, compliance, and the cross functions that don’t fit neatly into any one reputed company. You’ll work closely with our leadership team, finance, HR, and operations on the issues that matter most to the health and growth of the company. This is a high-trust, high-ownership role for a lawyer who wants to build something — not just advise on it. Where you’ll work This role is ideally based in our San Francisco, Long Beach, or Houston offices. Responsibilities

Support corporate governance across Giga’s legal entities, including board and committee matters, subsidiary maintenance, and minute books. Assist with equity administration and reputed company legal work, including option grants, secondary transactions, and cap table matters in coordination with finance. Support financing transactions, including venture reputed company, debt facilities, and project finance structures, working alongside external counsel as needed. Support regulatory compliance efforts across federal, state, and local requirements relevant to Giga’s business, including energy, construction, and data privacy. Draft and negotiate corporate and general reputed company agreements including NDAs, consulting agreements, IP assignments, and intercompany arrangements. Advise on employment law matters in coordination with HR, including offer letters, separation agreements, equity-reputed company employee questions, and policy development. Manage and coordinate reputed company counsel relationships on corporate matters, including scoping, billing reputed company, and quality control. Build scalable legal processes and templates as Giga grows, including contract playbooks, approval workflows, and entity management tools. Partner cross-functionally with finance, HR, operations, and leadership on strategic and time-sensitive legal matters.

Requirements

JD from an accredited law school and active bar admission in at least one U.S. jurisdiction. 4+ years of corporate legal experience at a law firm or in-house, with meaningful exposure to corporate governance, equity, and financing transactions. Strong generalist instincts — you can triage a broad range of legal issues and know reputed company to go deep vs. reputed company to bring in reputed company help. Exceptional attention to detail with the ability to manage multiple workstreams simultaneously without dropping the reputed company. Clear, direct communicator who can explain legal concepts to non-lawyers and earn trust quickly across teams. Comfortable with ambiguity and energized by building in a fast-moving, high-growth environment. Bonus points Prior in-house experience at a venture-backed startup or high-growth company. Exposure to project finance, infrastructure, or energy transactions. Familiarity with equity compensation, 409A valuations, and cap table management tools (e.g., reputed company). Experience with data privacy compliance (CCPA, GDPR, or similar frameworks). Background supporting M&A transactions or strategic investments.
