Transactions Quantitative Analyst
DLA Piper is a bold and collaborative firm seeking a Transactions Quantitative Analyst to assist corporate and private equity clients with quantitative modeling for transactions. The role involves collaborating with lawyers and clients on financial modeling support, including proforma capitalizations and merger consideration spreadsheets.
Responsibilities
- Creates and audits capitalization tables
- Designs and prepares economic analyses
- Designs and prepares analyses of allocations/distributions for LLCs and partnerships
- Supports price per share calculations associated with equity financings, stock option grants, debt/equity conversions
- Constructs liquidation waterfalls based on various deal scenarios
- Constructs payout spreadsheet deliverable that ties underlying capitalization data to the transaction structure as negotiated in the relevant deal documents
- Reviews payout spreadsheets provided by clients, banks, or other law firms
- Runs 280G, 409A penalty, ISO $100k limit, and 701 analyses
- Constructs pricing spreadsheet for pro forma capitalization in connection with IPOs, de-SPAC transactions, and other public offerings
- Designs and performs financial statement analysis to calculate and analyze financial metrics and ratios, if needed
- May perform other duties and projects as assigned
Skills
- 4 Year / Bachelor's Degree In Economics, Accounting, Business, Finance, Mathematics, Applied Mathematics, or related field
- 1 year of experience
- Experience in corporate finance or financial transitions
- Effectively communicate, verbally and in writing, with clients, lawyers, business professionals, and third parties
- Produce deliverables, answer phone calls, and reply to correspondence in an efficient and responsive manner
- Provide timely, accurate, and quality work product
- Successfully meet deadlines, expectations, and perform work duties as required
- Foster positive work relationships
- Comply with all firm policies and practices
- Engage in both physical and sedentary activity, such as (a) working at a computer for extended periods of time, including on-screen reading and typing; (b) participating in digital/virtual conference calls; (c) participating in meetings as needed
- Ability to work under pressure and manage competing demands in a fast-paced environment
- Familiarity with corporate legal operations, law firm economics, and common transactional matter types
- Currently or prior experience working in a law firm or professional services environment
